Business Profile Terms

1. What these terms cover

1.1 These terms are between you and TLK ("we", "us"). They apply when a claimed business buys a Business Profile.

1.2 The Directory Terms, website terms and privacy policy also apply. If these terms conflict with the Directory Terms, these terms apply to the paid Business Profile.

2. What a Business Profile includes

2.1 Everything a claimed listing has, plus:

• the business's own page, which search engines can index;
• meetings with buyers, if you switch them on (clause 8);
• a logo, cover image, summary, "About" text and up to 6 photos;
• services (no category cap), industries and areas served;
• profile insights;
• a quarterly demand report for the business's categories and state.

2.2 What it does not change.

• By default, search results are ordered by how well a business matches the search. Visitors may choose another order, such as A–Z.
• A Business Profile is not placed higher in search results.
• It does not include the "Checked against our standard" mark. That depends only on the checks being recorded.

2.3 Legal name, ABN, GST status and main location come from the public register and can't be changed from the profile. To correct them, update the register or ask us.

2.4 We aim to make profiles readable by search engines and AI tools. We cannot control, and do not promise, where or whether a business appears in any search engine or AI tool.

3. Price, free month, payment and renewal

3.1 Price. A Business Profile costs $200 + GST a year ($220 including GST). It is sold yearly only. There is no monthly plan. We issue a tax invoice, with GST shown as its own line, for every charge.

3.2 Free month. Your first month is free.

• It starts when you choose "Start your free month".
• We take your card details then, through our payment provider, and charge nothing that day.
• The first charge is on day 30, for the first year, unless you cancel before then.
• Before you start, you tick a box (not ticked for you) confirming you understand the amount and the date of the first charge.

3.3 Reminders. We email you before every charge:

• on day 23 and day 29 of your free month;
• at least 30 days before each yearly renewal.

Each reminder states the charge date, the amount including GST, and has a link to cancel online.

3.4 Renewal. After the first year, the profile renews each year until cancelled.

3.5 Founding price. If you start your free month on or before 31 January 2027, you keep the price in clause 3.1 for as long as your subscription continues without a break, even if the price later goes up. The closing date is a fixed date published on our pricing page. It does not roll forward.

3.6 If a payment fails, we'll tell you and try again. If it still isn't paid after 14 days, the profile goes back to a free claimed page, and no further charges are made.

3.7 Price changes.

• We may change the price for new subscriptions.
• For an existing subscription, a change applies only from your next renewal, after at least 30 days' notice, and never to a founding price under clause 3.5.
• You may cancel before it applies, at no cost.

4. Cancelling and refunds

4.1 You can cancel online at any time, in two clicks, from Billing in your account, or by email. There is no cancellation fee and no minimum term.

• During your free month: the profile ends straight away, nothing is charged, and your page goes back to a free claimed page.
• During a paid year: the profile stays active until the end of the year you've paid for, then goes back to a free claimed page. It does not renew.

4.2 We don't refund part of a paid year you cancel, except where the Australian Consumer Law requires.

4.3 If we stop providing Business Profiles, or a fault on our side makes a profile unavailable for a significant time, we refund the unused part of the period.

4.4 If we end a subscription because of a serious breach of these terms or the Acceptable Content Policy, the remaining period is not refunded.

5. Your content

5.1 Licence to us.

• You keep ownership of the logos, images and text you add.
• You give us a non-exclusive, royalty-free licence to host, store, copy, resize and display them. This covers the directory, search engines, and our public machine-readable directory feed, only to provide the directory.
• The licence ends when you remove the content, apart from routine backups and copies we can't practically recall.

5.2 Your promises. You promise that your content:

• (a) is yours, or you have permission to use it;
• (b) is accurate and not misleading or deceptive;
• (c) is not defamatory, offensive or unlawful and contains no malicious code;
• (d) does not include personal information about anyone without their consent.

6. Reviewing and removing content

6.1 We check content automatically, for example to block links and phone numbers in text and inappropriate images. We may also review it after it's published.

6.2 If we receive a credible report, or reasonably suspect a breach, we may hide the content or the profile while we look. We will tell you promptly and give you a chance to respond or fix it, unless the matter is urgent or the law requires otherwise.

7. Enquiries and insights

7.1 Enquiries through your profile are passed on by TLK. We do not check who enquirers are, and we do not promise any number of enquiries or any business from them.

7.2 Insights show counts of views, searches and matching demand. Small numbers are withheld. We do not collect or share who viewed your profile.

8. Meetings

8.1 Meetings are an optional service that comes with a Business Profile, including during the free month. They are off until you switch them on, and you can switch them off at any time.

8.2 While meetings are on and the checks in our published standard are recorded for your business, we may put your business forward to buyers reviewing a category you sell. Among eligible businesses, who is put forward depends on fit: category and services, areas served, size of work, and how introductions have gone before.

8.3 Meetings are not guaranteed. We do not promise any number of meetings, or any business from them.

8.4 Fee. You pay a fixed fee for each meeting you confirm, set by the buyer's size, as published on our meetings page, plus GST. You see the fee before you agree, and there is nothing to pay unless you confirm. Buyers never pay.

8.5 If the buyer doesn't turn up. If a buyer doesn't turn up, we put you on an equivalent meeting in the same category at no cost. If we can't within 60 days, or it doesn't suit you, we refund the fee in full, including GST. If you simply do not attend, no replacement or refund is due.

8.6 If you switch meetings off, or your Business Profile ends, we stop putting you forward. Meetings already confirmed go ahead, and clause 8.5 still applies to them.

8.7 The Supplier Terms apply to each meeting you confirm.

9. Responsibility

9.1 Nothing in these terms excludes rights under the Australian Consumer Law that cannot be excluded.

9.2 To the extent the law allows, each side's total liability under these terms is limited to the fees you paid in the 12 months before the claim. Neither side is liable for indirect or consequential loss, or for lost profit or reputation.

9.3 Indemnity.

• You indemnify us against third-party claims arising from your content, or from a breach of your promises in clause 5.2.
• The indemnity is reduced to the extent our own negligence or wilful default contributed.

10. Ending, law and contact

10.1 Either side may end the subscription if the other seriously breaches these terms and doesn't fix the breach within 14 days of notice.

10.2 New South Wales law applies, and the courts of New South Wales have non-exclusive jurisdiction.
