Supplier terms
1. Who these terms are with
These terms are between you, the supplier, and TLK ("we", "us"). They apply from the moment you register. Our website terms and privacy policy also apply.
1.1 "Introductory Meeting" means a scheduled online meeting of 20 minutes between you and one buyer who has chosen you, arranged by us. Our public pages call these introductory meetings and do not state a length; this clause is the length that applies.
2. Registering, and our standard
2.1 Registering is free. There is no subscription and no listing fee.
2.2 Before you can see what any buyer needs, you must pass every check in our published standard. That page sets out each check, what counts as a pass, how often it is repeated, and when a check does not apply.
2.3 Where a check does not apply to you, we record that with the reason, and it counts as clear. A check we have not carried out never counts as clear.
2.4 The information you give us at registration and afterwards must be accurate, and you must keep it up to date. Tell us promptly if a licence or insurance policy lapses, or if your circumstances change.
2.5 We may suspend or remove you if a check fails or lapses, if your information proves inaccurate, or if you breach these terms. We will tell you which check or term is concerned.
3. How meetings come about
3.1 When a buyer in a category you serve starts a review, we tell you the buyer's type, size, region and what they need. We do not tell you who they are.
3.2 You may ask to meet them. Asking is free and creates no obligation on either side.
3.3 The buyer alone decides which suppliers to meet and how many. You may not be chosen, and being asked to meet is not a promise of anything.
4. Fees
4.1 If a buyer chooses you, a fee is payable for that meeting. The fee is set by the buyer's declared annual spend in the category, not by you and not by them:

4.2 Fees are in Australian dollars and exclude GST, which is added at checkout. We are registered for GST and issue a tax invoice for every payment.
4.3 Every supplier meeting the same buyer pays the same fee. No payment buys selection, ranking, placement or preference of any kind, and none is available at any price.
4.4 We may change our fees. A change does not affect a meeting you have already confirmed.
5. Paying
5.1 You have 48 hours from being chosen to confirm and pay, and payment must clear at least 7 days before the meeting.
5.2 If you do not pay in time, the place may be offered to another supplier.
5.3 Payments are processed by Stripe. Your card details are handled by Stripe and are not held by us.
6. The buyer's identity
6.1 When you confirm and pay, we tell you the buyer's organisation name. We do not give you their contact details at that point.
6.2 You may use the buyer's identity only to prepare for and take part in that meeting. Treat it as confidential. Do not disclose it, add it to a prospect list, or use it for any other purpose.
6.3 You must not contact the buyer outside TLK unless they mark you "Next step" after the meeting. This includes calling, emailing, messaging, approaching them at an event, or contacting anyone else at their organisation about the review.
6.4 Breaching clause 6.2 or 6.3 is a serious breach. We may remove you immediately, and you forfeit fees paid for meetings not yet held. Protecting buyers from unwanted approaches is what makes them willing to take part at all.
6.5 If the buyer marks you "Next step", we release their contact details and you may follow up directly.
7. Introductory Meetings
7.1 An Introductory Meeting runs for 20 minutes, online, at a time the buyer has accepted.
7.2 Attend the meetings you have paid for, on time, with someone who can speak to what you do. If you cannot make one, contact us as early as you can. Meetings are cancelled or moved by us, not from your account.
7.3 Do not record a meeting without the consent of everyone in it.
8. If a meeting does not happen
8.1 If the buyer does not attend, or cancels at short notice, we will place you on a replacement meeting in the same category at no further cost.
8.2 If you would rather have your money back, tell us and we will refund the fee for that meeting, including GST, to the card you paid with.
8.3 We will also refund you, without you having to ask, if we cannot offer you an equivalent replacement within 60 days of the meeting the buyer missed, or if a replacement we owe you is still unused when it reaches its expiry. A replacement we owe you is never simply cancelled: if it is not used, the money goes back.
8.4 If you do not attend, no replacement or refund is due and the fee is not refunded.
8.5 Beyond clauses 8.1 to 8.3 and what the law requires, fees are not refundable. Nothing in these terms limits any right you have under the Australian Consumer Law that cannot be limited.
8A. If your business also buys through TLK
8A.1 Many businesses do both. If yours buys a category through TLK as well as selling one, the two sides are separate and this agreement covers only your supplier side.
8A.2 You pay the fee in clause 3 for each meeting you are chosen for as a supplier. Being a buyer on TLK does not reduce, waive or offset that fee.
8A.3 Introductions are always free for you as a buyer, under the buyer terms, and nothing you pay as a supplier entitles you to anything as a buyer.
8A.4 We keep the two apart: the suppliers we introduce to you are never told what your business is reviewing, and the buyers you meet are never told what your business buys.
9. Industry briefing pass
9.1 The pass costs $99 + GST ($108.90 incl. GST) for one year and covers 2 people from your company.
9.2 It covers the regular online briefings we run through the year that are relevant to your registered categories, and gives you first sight of new meeting places for a short window before other suppliers. We do not commit to a set number of briefings in a year.
9.3 The pass does not renew automatically. It runs for a year and stops. We will not charge you again without you buying it again.
9.4 What buyers say in a briefing is confidential and for your own use. Do not record a briefing or share its content.
9.5 The pass does not affect whether a buyer chooses you.
10. No guarantee of outcomes
10.1 We do not promise you meetings, a number of meetings, that any buyer will choose you, or that any meeting will lead to work.
10.2 What you pay for is the meeting itself: a prepared conversation with a business that is reviewing what you sell. What follows is the buyer's decision.
10.3 We are not a party to any agreement you reach with a buyer and take no commission on it.
11. Your materials
You keep ownership of anything you supply. You give us permission to show it to the buyer concerned for the purpose of the meeting, and you confirm you have the right to supply it.
Australian Consumer Law
Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you have under the Australian Consumer Law or any other law that cannot be excluded. If a guarantee applies and cannot be excluded, our liability for failing to meet it is limited, at our option, to supplying the service again or paying the cost of having it supplied again.
12. Limitation of liability
12.1 Subject to the Australian Consumer Law section above, we are not liable for indirect or consequential loss, loss of profit, loss of opportunity or loss of anticipated savings.
12.2 Subject to that section, our total liability arising from these terms is limited to the fees you have paid us in the twelve months before the event giving rise to the liability.
13. Suspension, removal and disputes
13.1 We may suspend or remove you for breach, for a failed or lapsed check, or for repeated non-attendance. Where the reason allows it, we will tell you first and give you a chance to put it right.
13.2 If you disagree with a decision, email hello@tlksource.com.au. We will look at it and answer. If we cannot resolve it between us, either of us may take it further.
14. Privacy
We handle personal information as set out in our privacy policy.
Changes to these terms
We may change these terms. If a change materially affects you, we will tell you by email or by a notice on the site before it takes effect. The version published here is the one that applies. Continuing to use TLK after a change takes effect means you accept the changed terms.
Governing law
These terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales.
